Terms of Service
The agreement between Zero To Hero LLC and the sellers who build on Obsidian.
Draft pending legal review. Effective date: TBD. Governing law: State of formation, TBD. Contact: [email protected].
1. Who we are
Obsidian is a software licensing and protection platform operated by Zero To Hero LLC (“Obsidian”, “we”, “us”). These Terms govern your use of the platform as a customer (“you”, the “seller”). By creating or using an organization on Obsidian you agree to them.
2. The service
Obsidian provides license issuance and verification, device identity, entitlement management, build distribution, and related developer infrastructure, delivered through a dashboard, APIs, and SDKs. We may change or improve the service over time; we will not remove a material capability you rely on without notice where practicable.
3. Your account and your end-users
You are responsible for everything done under your organization, for keeping your credentials secure, and for your own customers (“end-users”). You are the controller of any personal data you collect from your end-users; Obsidian processes it on your behalf as described in the Privacy Policy. You must have the rights and consents needed for the data and software you put on the platform.
4. Acceptable use
Your use must comply with our Acceptable Use Policy, which is part of these Terms. We may suspend or remove content or access that violates it, and in serious cases suspend an organization, as described there and in Section 8.
5. Fees, plans, and billing
- Paid plans are billed as recurring subscriptions through our payment processor (Stripe). By subscribing you authorize the recurring charge for the plan you select until you cancel.
- Plans carry limits (applications, members, active devices). Exceeding a soft limit may prevent creating more of a resource; it does not retroactively delete your data.
- Subscriptions renew automatically each period unless cancelled before the renewal date. You can cancel or change plans at any time from the billing portal; changes take effect per the processor’s proration rules.
- Fees are exclusive of taxes, which are your responsibility where applicable. Except where required by law, fees are non-refundable.
- If a payment fails, your dashboard enters a grace period and then becomes read-only until billing is resolved. Your end-users’ runtime sign-ins are not interrupted by your billing status.
6. Your data
You retain ownership of your data. You grant us the limited rights needed to operate the service for you (to store, process, and transmit it). We will not sell it. You can export your data from the platform, and we delete it on request subject to legal retention obligations, as described in the Privacy Policy.
7. Availability and “as is”
We work to keep Obsidian available and fail-closed, but the service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free. No service-level guarantee is offered unless agreed separately in writing.
8. Suspension and termination
You may stop using the service and close your organization at any time. We may suspend or terminate access for violation of these Terms or the Acceptable Use Policy, for non-payment, for legal or security reasons, or to protect the platform and its other customers. Where practicable we will give notice; for serious abuse, suspension may be immediate. On termination, your right to use the service ends and we will make your data available for export for a reasonable period before deletion.
9. Intellectual property
Obsidian, its software, and its SDKs remain our property or that of our licensors, licensed to you for use with the service. You keep ownership of your own software, content, and marks. Feedback you give us may be used without obligation.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for any claim arising out of the service is limited to the fees you paid us in the twelve months before the claim. Nothing limits liability that cannot be limited by law.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your content, your software, your end-users, or your violation of these Terms or the Acceptable Use Policy.
12. Changes
We may update these Terms. For material changes we will give reasonable notice (for example, in the dashboard or by email). Continued use after a change takes effect means you accept the updated Terms.
13. Governing law and contact
These Terms are governed by the laws of our state of formation (to be finalized), without regard to conflict-of-law rules. Questions: [email protected].
